RESPONSIBILITIES AND DUTIES OF THE COACH TOWARDS THE CLIENT
• I will listen with full presence to the client in a safe, supportive environment (in person and/or Zoom) to increase trust & self-exploration of Client's personal, spiritual and wellness goals.
• I will respect the client as the authority for her own health and wellbeing.
• I will support the client’s inner wisdom, intuition, and innate ability for what is best.
• I will co-create SMART goals (Specific, Measurable, Action-oriented, Realistic, and Time-lined) with the client towards their discovery, insight, creativity, and commitment to action.
• I will obtain the client’s consent to coach in sensitive areas and will maintain confidentiality.
• With permission, I will offer advice and suggestions for specific intuitive or spiritual situations the client identifies needing assistance with.
• I will recommend other healthcare professionals when I feel issues are outside my scope of practice & experience.
• I will be punctual and keep scheduled appointments.

RESPONSIBILITIES AND DUTIES OF THE CLIENT TOWARDS THE COACH
• I am aware that I am the key to my own wellbeing and success.
• I am ready to make changes and to sustain change to achieve my own goals and enhancing my wellness.
• I will commit to assessing my readiness for change and create an action plan for my goals.
• I will explore new ideas, behaviors, & actions that may involve risk-taking & fear of failure and/or fear of success.
• I will take responsibility in learning new lifestyle behaviors.
• I will be open and honest so that I can access my deeper wisdom and be more self-aware.
• I will integrate self-reflection and self-care practices each day.
• I will explore obstacles towards my goals and notice responses to these challenges.
• I will be punctual and keep scheduled appointments.

COACHING APPROACH
Coaching is a collaborative partnership where trust is established. My coaching approach is integrative, integral, holistic, and skilled. This means that I see you as a whole person from many perspectives. Together, we will identify the topics and concerns that you want to work on towards change and those areas that arouse energy and excitement. We will focus on your strengths and values to move you towards personal goals and how you can sustain and integrate new patterns, strategies, goals, and action plans. Throughout our coaching sessions, I will share many strategies that may be new for you, such as awareness practices, hypnosis, and imagery, to enhance your success.

PAYMENT FOR SERVICES
The Coach will invoice the Client for 3 MONTHLY PAYMENTS of $1111 OR A ONE-TIME PAYMENT OF $1999 for the performance of the Services (hereinafter referred to as “the Fee”). All payments must be completed by the Client prior to scheduling and initiating Services.


SERVICES INCLUDED WITH PAYMENT
* One full day (6-8 hrs) Straight from the Source Immersion through Zoom
* 4 weekly 45min Integration sessions through ZooM

REFUNDS
The Client agrees that a refund (minus any processing fees + $75) may be issued only if services are cancelled via email notification to iholdspace@holding-space.me no less than 72 hrs before the first scheduled session. No refunds will be given for any cancellations made after 72 hours prior to the first scheduled session.

CANCELLATION & RESCHEDULING
The Client agrees that it is their responsibility to schedule their sessions through the link provided by the Coach once payment has been completed.
The Client agrees that it is their responsibility to notify the Coach via email or text as soon as possible if they cannot attend a scheduled session.
The Client and the Coach will attempt in good faith to reschedule a meeting they're unable to attend more than 24 hrs prior to a scheduled meeting.
The Coach reserves the right to refuse rescheduling a missed meeting if notification is received less than 12 hours prior to a scheduled meeting. A missed meeting will not be replaced or reimbursed if this right is exercised.

INTELLECTUAL PROPERTY
Hereby, the Client agrees that any intellectual property provided to them by the Coach will remain the sole property of the Coach, including, but not limited to, copyrights, patents, trade secret rights, and other intellectual property rights associated with any ideas, concepts, techniques, inventions, processes, works of authorship, confidential information or trade secrets. Holding Space’s original materials shall be provided to the Client for their personal individual use only. Client shall not be authorized to share, copy, distribute, or otherwise disseminate any materials received from Holding Space electronically or otherwise without the prior written consent of Charmaine Illenberger. No license to sell or distribute the Program materials is granted nor implied.

CONFIDENTIALITY
All terms and conditions of this Agreement and any materials provided during the term of the Agreement must be kept confidential by the Client, unless the disclosure is required pursuant to process of law.
Disclosing or using this information for any purpose beyond the scope of this Agreement, or beyond the exceptions set forth above, is expressly forbidden without the prior consent of the Coach.
This coaching relationship, as well as all information (documented or verbal) that the Client shares with the Coach as part of this relationship, is not considered a legally confidential relationship (like in Medicine or Law). However, the Coach agrees not to disclose any personal information specifically identifying the Client without the Client’s written consent. The Coach will not disclose the Client’s name as a reference without the Client’s consent.
Client gives permission to use information from the session in print, electronic correspondence or educational discussion as situational examples for learning.
Coach guarantees that if the information is shared it will not be in conjunction with the client's name or personal information without further written permission. Confidential information does not include information that: (a) was in the Coach’s possession prior to its being furnished by the Client; (b) is generally known to the public or in the Client’s industry; (c) is obtained by the Coach from a third party, without breach of any obligation to the Client; (d) is independently developed by the Coach without use of or reference to the Client’s confidential information; or (e) that the Coach is required by law to disclose.

LIMITATION OF LIABILITY
The Coach, hereby, makes no guarantees, representations or warranties of any kind or nature, express or implied, with respect to the coaching services negotiated, agreed upon and rendered.
The Client understands that the Coach provides services for personal perspective only. The information and services received from any session or service is not intended, implied, nor should it be regarded as legal, financial, business, psychological or medical advice, fact, diagnosis or treatment and is subject to the Client's own personal integration, interpretation, judgment and free will choice. The Client recognizes their own personal responsibility for any decisions or choices they make as a result of any information discussed. The Client and their representative(s) agree to fully release and hold harmless Charmaine Illenberger from and against any and all claims or liability of whatsoever kind or nature arising out of or in connection with this service.
In no event shall the Coach be liable for any damages for any indirect, consequential or special damages.

RECORDINGS
All hypnosis parts of an immersion session are available to be recorded at no additional charge. Charmaine Illenberger does not guarantee the recording will be 100% audible, viewable, intact, or usable. Charmaine Illenberger will not be responsible nor issue a refund for non-recording, defective or damaged recordings.

SEVERABILITY
In the event that any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, then the remaining provisions will remain in force in accordance with the Parties’ intention.

ATTORNEY FEES
In the event of any dispute between the Parties concerning the terms and provisions of this Agreement, the party prevailing in such dispute shall be entitled to collect from the other party all costs incurred in such dispute, including reasonable attorneys’ fees.

ENTIRE AGREEMENT
This Agreement contains the entire agreement and understanding among the Parties hereto with respect to the subject matter hereof, and supersedes all prior agreements, understandings, inducements and conditions, express or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof. The express terms hereof control and supersede any course of performance and/or usage of the trade inconsistent with any of the terms hereof.
